Company authority starts with the company’s own documents
A Corporate Power of Attorney authorises a named person to perform defined acts for a company. Before drafting, we review the legal entity, the supplied evidence of who can grant the authority, any internal approval and the receiving organisation’s requirements. A POA cannot give the company or its signatory powers that are not supported by the company’s current authority documents.

Who this service is for
This service is for an existing company whose authorised decision-maker wants a named individual to perform defined company actions. It is not a personal POA placed on company letterhead: the company’s legal identity and authority chain must support the delegation.
What the tailored scope can cover
Subject to the company’s authority documents, required approvals and recipient acceptance, selected powers can include:
- signing specified operational agreements or forms
- submitting and collecting licensing or company-administration documents
- representing the company before named public or private organisations for defined administrative steps
- dealing with identified counterparties on specified operational matters
- completing named corporate procedures for which delegation is permitted
- undertaking specified banking administration where the company’s approvals and the bank’s requirements permit it
Each material power is tied to the company, the supplied signatory authority and the agreed purpose.
What this service does not cover
This service does not provide:
- a board, shareholder, partner or manager approval that the company has not validly made
- authority beyond the company’s constitutional documents, approvals or signatory powers
- incorporation, licence amendment, tax, accounting, banking or company-secretarial work as separate services
- legal advice, contract review, litigation or court representation
- a guarantee that a bank, free zone, licensing body, authority or counterparty will accept the delegation
- a POAS-provided company representative
- any service outside POAS.ae’s ten listed POA services
High-value contracts, guarantees, asset disposals, ownership changes and sensitive banking powers require explicit scope. They may also require approvals or processes outside this service.
Who does what
POAS.ae is an independent private service operated by Cendale Documents Clearing Services FZCO. POAS prepares the document and coordinates the supported execution route. An independent private notary licensed by Dubai Courts performs the regulated notarial act and decides what identity, corporate evidence and attendance are required. The intended bank, free zone, licensing body, authority or counterparty makes its own acceptance decision.
POAS reviews supplied authority documents for the preparation and notarial-coordination workflow. It does not provide a legal opinion on the validity of a corporate decision and is not a government authority, court, notary or law firm.
Documents and information usually requested

The private notary or recipient may request originals, current incumbency or authority evidence, additional approvals, KYC information or personal attendance.
How it works
- Open your file. Pay AED 2,199 + VAT.
- Upload the company file. Provide the licence, authority documents, identities, approvals and intended actions through the case upload link.
- Review the authority evidence. We identify the supplied basis on which the proposed signatory is said to grant the POA and flag missing evidence before drafting.
- Approve the tailored draft. The authorised customer verifies the entity name, signatories, agent, powers, limits and recipients.
- Complete the applicable execution route. We coordinate the file through an independent private notary licensed by Dubai Courts. The private notary makes the notarial decision and sets the evidence and attendance requirements.
- Receive the completed document. We provide the available completed POA for presentation to the intended recipient, which then applies its own acceptance requirements.
Timing
Our target is preparation and coordinated notarisation by the next business day once payment, complete company and identity records, the necessary approvals, identity checks and draft approval are in place. Complex authority chains, missing resolutions, recipient requirements, private-notary availability and court workload can extend the timing. This is a target, not a guarantee.
Scope changes and refunds
If another POAS service or execution route is required, we explain the change before drafting. If the correct route costs less, we refund the difference. If it costs more, we obtain approval before collecting the balance. If POAS cannot provide the selected service and no available alternative is accepted, the professional fee is refunded under the Refund Policy.
If a document cannot be used for the purpose agreed with POAS because of a POAS drafting or scope error, we correct it without another POAS professional fee. If it cannot be corrected for that agreed purpose, we refund the POAS professional fee. Missing or defective company approvals, inaccurate records, recipient policy and separately incurred third-party charges remain outside that promise where they are unrelated to our drafting or scope.
Frequently asked questions
Who signs a Corporate Power of Attorney?
The person or combination of people supported by the company’s current records and any required approval. The applicable notarial channel or authorised provider decides what authority evidence and execution requirements are sufficient for the file.
Do I need a resolution?
Possibly. It depends on the company’s constitutional documents, signatory powers, requested authority and the recipient’s requirements. Send the complete authority chain rather than assuming the trade licence alone is sufficient.
Can the POA include company banking powers?
Only where the powers are expressly requested, supported by the company’s approvals and accepted by the bank. The bank may require its own form, signatory configuration, KYC or direct verification.
Can it authorise an ownership change or asset sale?
Do not assume so. Sensitive disposals require explicit company authority and recipient acceptance and may require a process outside this service. We confirm whether the requested task fits the supported scope before drafting.
Does POAS verify that a board decision is legally valid?
POAS reviews the supplied documents for preparation and coordination; it does not give a legal opinion. The customer is responsible for valid corporate approvals, and the independent private notary and recipient decide what evidence they require.
