Corporate Power of Attorney (UAE)

A Corporate Power of Attorney authorises an individual to act on behalf of a company for specific corporate actions. Corporate POAs must match two things:

  1. Your company’s authority rules (who can grant a POA, what approvals are required)
  2. The recipient’s compliance rules (bank, authority, free zone, counterparty)

This is why corporate POAs are rejected: not because the document is “wrong”, but because the authority chain or scope language doesn’t match what the recipient expects.

 

What it’s commonly used for

This POA is commonly used for:

  • representing the company with UAE authorities and counterparties
  • signing defined corporate documents where delegated authority is accepted
  • completing administrative and licensing procedures (recipient requirements vary)
  • acting for the company in operational matters where ongoing representation is needed
  • handling specific account or banking steps where permitted (bank policies vary)

 

What it doesn’t do (important)

A Corporate POA is not a blank cheque. You may need additional approvals or a different structure if you require:

  • major commitments (high-value contracts, asset disposals, guarantees) unless explicitly authorised
  • bank “full control” actions (banks may require their own forms, branch steps, or signer attendance)
  • litigation/court representation (often needs litigation-specific authority wording)
  • actions requiring a board/shareholder resolution under your company’s documents or free zone rules

We reduce rejection risk through structure and scope checks, but final acceptance is always the recipient’s decision.

What we need from you

To confirm the correct structure quickly, we’ll usually ask for:

  • company name + trade licence details (mainland / free zone)
  • who will sign/grant the POA (manager/director/authorised signatory)
  • passport/Emirates ID for the signer(s) and the appointed agent
  • the exact actions the agent must be able to do
  • recipient details (bank/authority/free zone/counterparty), if relevant
  • supporting company documents where required (e.g., trade licence, MoA, resolution)

 

How we reduce rejection risk

Before drafting, we confirm:

  • the correct authority basis for granting the POA (signatory powers / required approvals)
  • scope language aligned to the intended action and the recipient’s expectations
  • any recipient constraints (forms, KYC, signatory combinations, portal rules)
  • the correct execution route based on where the signatory is signing (UAE or abroad), including attestation/legalisation where required
