Terms of service
These Terms of Service (“Terms”) govern your use of POAS.ae and any services provided through it. By accessing POAS.ae or placing an order / submitting a request, you agree to these Terms.
POAS.ae is operated by CENDALE DOCUMENTS CLEARING SERVICES FZCO (“Operator”, “we”, “us”, “our”).

1) Definitions
- “POAS.ae” / “Platform” means the website and any associated pages, forms, portals, and communications channels used to deliver the service.
- “Client” / “you” means the individual or entity requesting services through POAS.ae.
- “Service” means administrative coordination and managed support for Power of Attorney (POA) preparation and execution workflows, as described on the site and in your order scope.
- “Third Parties” means notary offices, competent authorities, embassies/consulates, translation providers, attestation channels, banks, developers, trustees, and any receiving institutions that may impose acceptance requirements.

2) Nature of the service
POAS.ae provides a coordination and administrative handling service. Unless explicitly stated otherwise in writing:
- POAS.ae is not a government entity and does not represent any authority.
- POAS.ae does not issue official approvals, stamps, or attestations.
- Where official actions are required, these are completed by the relevant competent authorities and/or licensed professionals as applicable.

3) Eligibility and authority to act
By using the service, you confirm that:
- you are legally capable of entering into these Terms, and
- if you are acting on behalf of a company or another person, you have the authority to do so.

4) Orders, scope, and instructions
Service scope
The scope is defined by:
- the service description on POAS.ae,
- the package you select (if applicable),
- and any written confirmations we provide for your specific request.
Your instructions
You are responsible for ensuring your instructions are accurate and complete, including:
- correct spelling of names,
- correct passport/Emirates ID details,
- correct powers requested,
- and any special receiving-party requirements (bank/developer/authority wording) that must be reflected.

5) Third-party dependence and acceptance
Many POA workflows depend on third parties and their rules. You acknowledge that:
- appointment availability, processing times, and acceptance decisions are outside our control;
- a receiving institution may reject a document for reasons unrelated to our coordination (internal policy, jurisdictional changes, compliance rules, or updated requirements).
We will coordinate actively and reduce avoidable errors, but we do not guarantee acceptance by any third party.

6) Fees, payments, and taxes
Service fees
Service fees (where applicable) are payable as shown at checkout, invoice, or written quotation.
Third-party fees
Official / third-party fees (notary, authority, translation, attestation, courier) may be:
- paid by you directly to the third party, or
- collected and disbursed only where required and where you have approved the cost in advance.
VAT / taxes
If any taxes are applicable, they will be shown on the invoice or checkout where required by law.

7) Cancellations, refunds, and changes
Cancellations
You may request cancellation at any time. However: if work has already commenced, fees may be partially or fully non-refundable depending on work completed and any third-party costs incurred.
Refund logic (principle)
Refunds (if any) are assessed based on:
- the stage reached in the workflow,
- drafting / revision work already completed,
- appointments booked,
- and any third-party fees already incurred.

Changes and rework
If you change instructions after drafting or coordination has started (e.g., different POA type, additional powers, jurisdiction change, new receiving-party wording), additional fees and/or timeline changes may apply.

8) Communication channels
You may communicate with us via:
- secure portal upload,
- email,
- WhatsApp,
- and phone (where available).
You acknowledge that WhatsApp and email are third-party platforms; while widely used and practical, they are not controlled by us. If you prefer maximum confidentiality, use the secure portal upload route where available.

9) Confidentiality and data handling
We treat client information as confidential and handle documents on a need-to-know basis. Our broader commitments on information handling are described in our Privacy Policy (to be published / linked on the site). Where there is a conflict between these Terms and the Privacy Policy, the Privacy Policy governs data handling.

10) Prohibited use
You agree not to:
- provide false or misleading documents or instructions,
- use the service for unlawful purposes,
- attempt to compromise the platform’s security,
- harass staff or third parties involved in execution.
We may refuse service or terminate active handling where misuse, fraud risk, or abusive conduct is identified.

11) Limitation of liability
To the maximum extent permitted by applicable law:
- we are not liable for indirect or consequential losses (lost profits, missed opportunities, delays outside our control);
- we are not liable for third-party decisions, refusals, policy changes, or delays;
- our total liability for any claim relating to the service is limited to the service fees paid to POAS.ae for the specific order giving rise to the claim (excluding third-party fees), unless a higher liability is required by law.

12) Service availability
We aim to keep the platform available and reliable, but:
- downtime or interruptions may occur due to maintenance, third-party outages, or unforeseen events.

We may update these Terms periodically to reflect operational, legal, or regulatory changes. The updated version becomes effective once published on this page, unless otherwise stated.

14) Governing law and jurisdiction
These Terms are governed by the laws applicable in the United Arab Emirates. Any disputes will be subject to the competent courts of the relevant jurisdiction, unless otherwise required by applicable law.
